Terms of Service

These Terms of Service ("Terms") govern your purchase and use of services from Clauseworks ("we", "us", "our"). By purchasing or using our services, you agree to these Terms.
1. About us
Clauseworks provides commercial legal documentation and advisory services in England and Wales. We are not a firm of solicitors regulated by the Solicitors Regulation Authority and do not carry out reserved legal activities under the Legal Services Act 2007.

2. Our services
We provide the services described on our website, including the Startup Legal Pack, Contract Drafting, Contract Review, Website Legal Compliance, and Fixed Fee Retainers. The specific scope of any engagement will be confirmed in writing before work begins.
3. Fees and payment
All fees are quoted in pounds sterling (GBP) and are payable upfront unless otherwise agreed. Payment is processed securely via our payment provider. We reserve the right to change our pricing, but any changes will not affect services already paid for.
4. Delivery and turnaround
Indicative turnaround times are provided on our website and at the point of engagement. We will use reasonable efforts to meet stated timelines but are not liable for delays caused by factors outside our reasonable control, including delays in receiving information from you.
5. Your right to cancel (consumer rights)
If you are a consumer (purchasing for purposes outside your trade, business, or profession), you have the right to cancel your purchase within 14 days of placing the order under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
However, by purchasing a digital service or document from us, you expressly request that we begin work immediately and acknowledge that:
If we have fully performed the service within the 14-day period, you lose the right to cancel
If we have begun work but not yet completed it, you may be charged for the work already performed on a pro-rata basis
To cancel, email info@clauseworks.com within 14 days of your order.
Most of our clients purchase as a business, in which case the statutory cancellation right does not apply.
6. Refunds
Where a refund is due (e.g. valid cancellation, or services not delivered as agreed), we will process it within 14 days of agreeing the refund, using the original payment method.
7. Your responsibilities
You agree to provide accurate, complete, and timely information needed for us to deliver the services. You are responsible for the use of any documents we provide and for ensuring they are appropriate to your specific circumstances.
8. Nature of our services and limitations
Our services provide general commercial legal documentation and advisory support. They do not constitute regulated legal advice from a solicitor and should not be relied on as a substitute for advice tailored to your specific circumstances where complex or contentious matters are involved.
Where your matter falls outside our scope or requires a regulated firm, we will tell you and refer you accordingly.
9. Liability
Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
Subject to the above, our total liability arising out of or in connection with any engagement is limited to the fees paid by you for the specific service giving rise to the claim. We are not liable for indirect, consequential, or business losses (including loss of profit, revenue, or opportunity).
10. Intellectual property
Documents we provide are licensed to you for use in your business. We retain underlying intellectual property rights in our templates, drafting, and methodology.
11. Confidentiality
We treat all client information confidentially and will not disclose it except as necessary to provide the services or as required by law.
12. Governing law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to these Terms
We may update these Terms from time to time. The version in effect at the time of your purchase will apply to that engagement.
